USER AGREEMENT

Waste to Profit Network Member Exchange Site MEMBERSHIP FEE: $200 ANNUAL FEE WILL BE BILLED TO THE REGISTRANT ADDRESS PROVIDED UNLESS PAYMENT WAS RECEIVED THROUGH THE PAYPAL LINK PROVIDED. THE FEE PROVIDES UNLIMITED ACCESS TO THE DATABASE FOR THE TERM OF ONE (1) CALENDAR YEAR.

Service Description
The Chicago Waste to Profit Network is a collaborative innovation network that assists members in identifying new ways of managing resources that come into and out of their organizations. This database is a service provided by the Network.

Membership on the database system provides the following benefits:

1. Invitation to all Waste to Profit Communuty Network Meetings
• Meetings for technical updates, resource analysis, and company matching to new resources for members
• Community Network Workshops
2. Unlimited access to the Chicago Waste to Profit Network Membership-only database for one calendar year.
• Post available materials and find consumers of these materials
• Obtain usable feedstock for your operations
• Track the relevant social, economic, and environmental benefits of your exchanges
3. Marketing Case Study Creation for your organization
• After the completion of a successful synergy you will have the opportunity to use your success in a CMC created marketing case study which will have both public or private (membership only) readership.

DURATION OF MEMBERSHIP
Membership and benefits included therein will begin on the date of this agreement signing and will remain valid for one calendar year.

ATTACHMENT I: ADDITIONAL TERMS AND CONDITIONS

PARTIES
This Agreement is made by and between the Chicago Manufacturing Center and the site registrant organization jointly referred to as the “Parties.”

CLIENT RESPONSIBILITY
It is recognized that the services provided by CMC are for the benefit of the Client and that achievement of the benefits and goals of the project are dependent upon the Client and CMC working together. Subject to the warranty below, CMC’s sole obligation in providing the services hereunder and the sole purpose of such services is to support and advise the Client.

CONFIDENTIALITY
The term "Confidential Information" shall mean information identified in writing by the disclosing party as confidential at the time of disclosure and may include, without limitation, any and all trade secrets, business methods, business records and files, computer programs, customer and supplier lists, product specifications, drawings and prototypes, price lists, reports or other confidential or proprietary information of any type or description, whether such information is in written form, maintained in computer form, or otherwise with respect to a party hereto.

Confidential Information of the disclosing party does not include information that the receiving party can demonstrate was in its possession in tangible form prior to receipt from the disclosing party; is or becomes known to the public through disclosure by a third party without breach of this Agreement; is or was acquired by receiving party from a third party without breach of this Agreement; or is developed by receiving party independently of information received from the disclosing party. All information posted on the Waste to Profit Network Member Exchange Site is anonymized to ensure that until both parties approve discussion around a relevant synergy opportunity, all information is to remain confidential. Additionally, all information disclosed and discussions taking place between Network members at working meetings is considered confidential and therefore subject to this agreement. It should be noted that all non-members and strategic partners attending meetings are required to sign an NDA at their time of participation.

The obligations of confidentiality for each item of Confidential Information will survive any expiration or termination of this Agreement until one or more of the aforementioned exceptions to confidentiality is met for such item of Confidential Information.

CMC and the Client acknowledge that by virtue of their business relationship with each other, they and their respective officers, directors, employees, agents, distributors and their representatives may have access to and knowledge of Confidential Information regarding the other party. The Center and the Client agree, on their behalf and on behalf of their respective Representatives, not to communicate, divulge or use for the benefit of any individual entity whatsoever, any Confidential Information obtained by them regarding the others without the express written consent of the other party hereto.

INDEMNIFICATION
CMC and the Client agree to protect, indemnify, release, defend and hold harmless each other, together with their respective employees, officers, directors, agents and shareholders, from any and all claims, demands, suits and causes of action except those that arise from the gross negligence or intentional misconduct of CMC or the Client, including costs and attorney's fees, arising out of or in any way connected with the acts of each in connection with the performance of this Agreement.

ANTI-DISCRIMINATION
The Parties agree that each party shall comply with all relevant federal, state and local laws designed to prevent discrimination.

GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois.

ADDITIONAL SERVICES
If the Client desires additional support services not specified herein, an appropriate amendment to this Agreement will be signed by the Client and CMC.

NUMBER OF BY-PRODUCT SYNERGIES IDENTIFIED AND SYNERGY IMPLEMENTATION
CMC does not guarantee the number or success of by-product synergies that are created or implemented as a result of membership in this database or the execution of this agreement. In addition, CMC is not responsible for the actual implementation of by-product synergies that may result from membership in this database or the execution of this agreement. Final implementation of the identified by-product synergies will be at the sole discretion and investment of the Client.

By using the Waste to Profit Network Member Exchange Site now or in the future, you agree unconditionally to release The Chicago Manufacturing Center, iWasteNot Systems Inc.,their employees and agents from any and all liability whatsoever resulting from, pursuant to, or connected with such listing and any future transactions resulting therefrom. Information provided through the Waste to Profit Network Member Exchange Site is supplied by the lister of the material, not the Waste to Profit Network or iWasteNot Systems Inc.No advisor, agent, or employee is liable or responsible for any warranty, expressed or implied, as to the accuracy of the material description, the suitability for a particular use, or the salability of any material offered through this service. Neither The Chicago Manufacturing Center, iWasteNot Systems Inc., its sponsors nor any advisor or employee thereof is liable for any information, error, or representation, nor makes any warranty, expressed or implied, as to the accuracy or quality of any information, service, or product/equipment offered through the Waste to Profit Network.
